Service-specific terms and commitments.
If you purchase through an enterprise order form, Microsoft Marketplace, Azure Marketplace or another authorized marketplace, additional commercial terms may apply.
A "Subscription" is the right to access a specified Nebula Cloud Service during a defined term under the applicable plan, marketplace purchase, order form or invoice.
The applicable purchase identifies, as relevant:
You are responsible for reviewing the applicable plan and purchase details before completing the transaction.
A Subscription begins on the activation or effective date shown in the applicable purchase record, marketplace transaction, order form or account.
Subscriptions continue for the purchased term unless:
Where a Subscription is identified as recurring or auto-renewing, it will renew for the applicable renewal term unless cancelled before the renewal date.
Renewal pricing will be the price presented for the applicable renewal or otherwise communicated in accordance with applicable law and the relevant marketplace or payment-provider rules.
Enterprise agreements and negotiated orders may contain different renewal terms.
Fees are due in accordance with the payment terms shown at checkout, in the marketplace transaction, invoice or order form.

Nebula Cloud may use third-party payment processors. Their payment-processing terms may apply separately.
For subscriptions purchased through Microsoft Marketplace or Azure Marketplace:
Where marketplace transaction mechanics conflict with these Service Terms, the marketplace rules control for those mechanics.
Your use of the Nebula Cloud Service remains governed by the Nebula Cloud Terms of Use, Acceptable Use Policy and Privacy Policy.
Nebula Cloud may offer multiple service tiers with different:
You may upgrade or downgrade where the applicable sales channel supports plan changes.
The effective date, billing adjustment and entitlement change for a plan change depend on the purchase channel and applicable marketplace or payment-provider rules.
A downgrade may reduce available features or usage limits.
Certain Nebula Cloud Services use Studio Credits to measure included or consumed execution capacity.
Studio Credits:
The number of credits consumed by a workflow may depend on factors such as model usage, reasoning depth, multimodal processing, Computer Use, compute intensity, geospatial processing, GPU workloads or other execution characteristics.
The applicable plan, account or product interface may display expected or actual credit consumption.
Each plan may include a defined quantity of Studio Credits or other usage.
Unused included usage does not roll over unless the applicable plan expressly says otherwise.
If a plan supports additional usage, overage, metering or top-up credits:
If no overage or additional-credit option is enabled, access to additional billable execution may pause when included usage is exhausted until the next reset, an upgrade or an additional-credit purchase.
Nebula Cloud may offer free plans, evaluation plans or trials.
Unless otherwise stated:
You may cancel a recurring Subscription through the applicable account, marketplace or payment channel where cancellation functionality is provided.
Unless applicable law, marketplace rules or an order form requires otherwise:
If you purchased through Microsoft Marketplace or another marketplace, you must use the marketplace's cancellation process where required.
Except where required by applicable law, marketplace rules, a specific refund policy shown at purchase or a written enterprise agreement, fees already paid are non-refundable.
Where Microsoft or another marketplace controls the transaction, its applicable refund policy governs the marketplace transaction.
Nothing in this section limits non-waivable consumer or statutory rights.
Prices may exclude taxes unless expressly stated otherwise.
Applicable GST, VAT, sales tax, withholding tax or other transaction tax may be charged or collected as required by law or by the applicable marketplace/payment provider.
You are responsible for providing accurate tax and billing information.
Support is provided according to the applicable plan, order form or support policy.
Nebula Cloud may provide:

Response targets are not service-level commitments unless expressly identified as binding in an applicable order or SLA.
No uptime percentage, service credit, response-time commitment or other service-level agreement applies unless expressly stated in a written SLA, enterprise order or marketplace plan applicable to your Subscription.
Where an SLA applies, the SLA is the exclusive source for the applicable service-level commitment and remedy.
Nebula Cloud may perform maintenance, upgrades, security changes and infrastructure work necessary to operate the Services.
Where reasonably practicable, we will provide notice of planned maintenance that is expected to materially affect availability.
Nebula Cloud may modify features or infrastructure to improve security, reliability, performance, compliance or product functionality.
We will not materially reduce the core paid functionality of a current Subscription during its paid term without a reasonable substitute, migration path, credit or other remedy where required by contract or applicable law.
You are responsible for:
For customer-managed, private or on-premises deployments, the customer may have additional infrastructure, security, backup or administrative responsibilities specified in the applicable order.
Nebula Cloud may suspend paid or free access where reasonably necessary because of:
Where practical and the issue is not urgent, we will provide notice and a reasonable opportunity to cure.
Upon expiration or termination:
Enterprise customers with contractual data-return or deletion commitments are governed by those commitments.
Enterprise, government, education, research and regulated customers may purchase custom terms covering:
A signed enterprise agreement or order form controls over these Service Terms to the extent of a conflict.
Nebula Cloud may change prices or these Service Terms prospectively.
Price changes do not apply retroactively to an already-paid fixed subscription term unless required by law, tax change or marketplace rules.
For recurring subscriptions, new pricing may apply at the next renewal after appropriate notice.
If documents conflict, the following order applies unless the applicable marketplace requires otherwise:
